Terms of Service
These Terms of Service ("Terms") govern your access to and use of the WEI platform, the website at getwei.app, and any related services (together, the "Service"), provided by WeiLabs, Inc. ("WEI," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an institution, you represent that you are authorized to bind that institution to these Terms, and "you" refers to both you and the institution. If you do not agree to these Terms, do not use the Service.
2. Eligibility
The Service is intended for use by authorized college and university athletic department staff, including coaches, recruiting operations personnel, and other institutional users acting in the scope of their official recruiting responsibilities. You may use the Service only if you are at least 18 years of age and have been authorized by your institution to do so. Recruits and prospective student-athletes are not direct users of the Service; they receive communications (such as call invitations) initiated by institutional staff.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Provide accurate and current information when creating your account and keep it up to date;
- Use strong, unique credentials and protect them from disclosure;
- Promptly notify us at founder@getwei.app if you suspect unauthorized access to or use of your account;
- Use the Service only in the scope of your role at your institution and in compliance with your institution's policies.
4. Acceptable Use
You agree not to use the Service to:
- Harass, threaten, intimidate, or otherwise harm any person, including recruits, their families, or other users;
- Impersonate any person or entity, or misrepresent your affiliation with an institution;
- Record any call in violation of applicable law, including state two-party (all-party) consent recording laws. You are solely responsible for obtaining any required consent from call participants before recording, and for ensuring your recording practices comply with the laws of the jurisdictions in which the call participants are located;
- Violate NCAA recruiting rules, your institution's recruiting policies, or any other law or regulation applicable to your recruiting activity;
- Send unsolicited promotional messages, send messages to recipients who have opted out, or otherwise use the Service's SMS or call features in violation of the Telephone Consumer Protection Act, 10DLC requirements, or other applicable telecommunications law;
- Upload, transmit, or store malicious code, attempt to gain unauthorized access to the Service or its underlying systems, or interfere with the operation of the Service;
- Reverse engineer, decompile, scrape, or otherwise attempt to derive the source code or underlying data of the Service, except as permitted by law;
- Use the Service to build a competing product or service.
We may suspend or terminate access to the Service for any user or institution we believe is using it in violation of these Terms.
5. Recording Consent
The Service offers features for recording video and audio calls and generating transcripts and summaries. Recording laws vary by jurisdiction. Several U.S. states (including California, Florida, Illinois, Maryland, Massachusetts, Montana, Nevada, New Hampshire, Pennsylvania, and Washington, among others) require the consent of all parties to a call before it may be recorded. You are responsible for understanding and complying with the recording laws that apply to your calls and for obtaining any required consent from recruits and other call participants. We provide the platform; we do not provide legal advice on recording compliance.
6. Intellectual Property
The Service, including its software, design, branding, documentation, and all related intellectual property, is owned by WeiLabs, Inc. or its licensors and is protected by U.S. and international intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. We reserve all rights not expressly granted.
You retain ownership of the content you and your institution provide to the Service, including recruit information, call recordings, and notes ("Customer Content"). You grant us a limited license to host, process, transmit, and display Customer Content as necessary to provide the Service to you, and to use Customer Content in aggregated and de-identified form to operate, secure, and improve the Service.
7. Service Availability
We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable from time to time for maintenance, upgrades, third-party outages, or reasons outside our control. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, to the maximum extent permitted by law.
8. Limitation of Liability
To the maximum extent permitted by law, in no event will WeiLabs, Inc., its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill, arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you have paid to us for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted.
9. Termination
You may stop using the Service at any time. Your institution may also terminate its use of the Service in accordance with any separate agreement between WEI and the institution. We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, if required by law, or if continuing to provide the Service to you presents a risk to other users or to WEI. Upon termination, your right to access the Service ends. Sections that by their nature should survive termination — including ownership, disclaimers, limitations of liability, and governing law — will survive.
10. Governing Law and Disputes
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute that is not subject to arbitration or otherwise resolved between the parties, and you and WEI consent to personal jurisdiction and venue in those courts.
11. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Service after the updated Terms are posted constitutes your acceptance of the updated Terms.
